本协议于____年____月_____日在中国上海签订。签约一方：___公司，主营业所在___（以下称承租人）；签约另一方：___公司，住营业所在___（以下称出租人）。根据本协议，按下列条件，出租人想承租人出租，承租人从出租人租赁下述商品。
This Agreement is entered into and concluded on the date of ___ day ___ month ____ year in Shanghai, China, between ____,Co. with______, (hereinafter called the Leasee)and Construction machinery leasing company with its principal office at_____(hereinafter called the Leasor).Hereby, the Leasor leases to the Leasee Port engineering construction company and the Leasee hires from the Lessor the commodity described hereunder in accordance with the terms and conditions set forth below:

6.付款：Payment:
承租人付给出租人的全部租金分两次支付，每一次于货到目的港日算起6个月后支付；第二次于货到目的港日算起12个月后支付。全部租金以美元支付，电汇出租人××银行或出租人临时指定的银行。交货后，无论承租人是否使用了商品，包括因不可抗力事故，均须按上述条件向出租人支付租金。
The total rent shall be paid in two installments, of which, one shall be paid by the Leasor to the Leasor after six months from the date lf the arrival of the commodity at the port of destination, and the other shall be paid by the Leasee to the leasor after be paid by the Leasee to the lessor after twelve months from the date of the commodity arriving at the port of destination.Each payment is to
be made in US dollar by T/T to Leasor may designate. After the commodity is delivered the Leasee shall pay the Leasor the full amornt of rent in accordance with the aforesaid terms and conditions, no matter whether or not the Leasee actually uses the commodity for any reason including force majeure accidents.
7.所有权：Ownership:
在出租人把合同商品转让给承租人以前，其所有权属于出租人。
The ownership of the commodity belongs to the Leasor,before he transfers it to the Leasee.
8.处理：Disposal:
本租赁协议期满时，只要承租人付清全部租金，便有权以每台××美元购买合同商品。承租人付清贷款，货物便归承租人所有。
Upon the expiration of the lease agreement,provided that there is no defarlt on the Leasee's sede,the Leasee shall be entitled to purchase the commodity from the Leasor at US_____each.When the Leasee has paid the price thereof,the commodity shall belong to the Leasee.
9.仲裁：Arbitration:
有关本协议的一切争议应友好协商解决。双方约定，若达不成协议，争议案则提交仲裁。若出租人是原告，仲裁在中国进行；若承租人是原告，仲裁在××进行。仲裁的裁决是终局，对双方均具有约束力。
Any dispute arising from this agreement shall be settled amicably through consultations between the two parties hereto. They agree that if no settlement can be reached, the case in dispute shall be submitted to arbitration, Incase the Leasor is the plaintiff, the arbitration shall take place in ____,China; in case the Leasee is the plaintiff, the arbitration shall be conducted in ____.The award of the arbitration shall be final and binding upon both parties.
10.税费：Taxes:
出租人在中国的全部收入须依中华人民共和国的法律纳税。
Allearnings made in China by the Leasee shall be subject to taxation in accordance with the laws of the People's Republic of China.
Right of Using the Commodity:
除了承租人以外，任何人不经出租人书面同意，不得使用该商品。
Nobody except the Leasee may use the commodity, but the Leasee shall not allow any other person to use the commodity without the Leasor's prior written consent.
12.保证： Guarantee:
承租人在签约后，但必须在装运期一个月前，向出租人提交 中国银行出具的以出租人为受益人的保证函，作为承租人履行本协议全部义务的保证金。
The Leasee shall furnish the Leasor, on/after the signing of this agreement but not later than one month prior to the date of the shipment of the commodity stated herein, with a letter of guarantee issued by Bank of China, ______in favour of the Leasor as the secruity of full execution of the Leasee's obligations under this agreement.
13.延期付款的罚金：Default Interest:
若承租人未按期付款，则必须向出租人交纳延期款项的罚金，年率为×%，时间从付款到期日计算至实际付款日期。
In case the Leasee is in default of any payment herein,the Leasee shall pay the Leasor a default interest on the amount delayed at the rate of ____% per annum as from the date when the payment is due to the date of actual payment.
14.维修：Maintenance:
承租人必须自负费用维持商品的良好状况；但是出租人必须对商品的故障负责，承租人有权想出租人提出赔偿因此所遭受的损失。
The Leasee shall keep the commodity in good condition at his expense, but the Leasor shall be responsible for the breakdown of the commodity and the Leasee may lodge claims against the Leasor for an losses occurred therein.
15.有效期限：Duration:
本协议的有效期是一年，自商品抵达目的港日计算。
The duration of this agreement is one year commencing from the date of the commodity's arrival at the port of destination.
16.适用法律： Governing Law:
本协议的签订、解释和履行受中华人民共和国法律制约。兹证明，双方在以上开首语中书明的日期签署盖章。本协议以英文书写，一式两份，每放各执一份。
The formation,interpretation and exeion of this agreement shall be subject to the laws of the Peopoe'sRepublic of China.
